CONSIGNMENT TERMS & CONDITIONS

These Consignment Terms and Conditions (“Terms”) apply to all items consigned to Rose Archive (“we”, “us”, “our”) by the consignor (“you”, “the consignor”). By submitting items for consignment, you confirm that you have read, understood, and agreed to these Terms.

1. Nature of the Service

Rose Archive operates as an independent resale platform for curated fashion and archive pieces. We act solely as an intermediary facilitating the sale of consigned items and do not represent, endorse, or hold any affiliation with the brands offered for sale. All brand names and trademarks are used strictly for identification purposes.

2. Consignment Submission & Acceptance

To submit an item for consignment, you must provide complete and accurate information as requested by us, including clear photographs that truthfully represent the item’s condition, appearance, and any flaws. Stock imagery is not permitted.

All items are subject to review. Acceptance is at our sole discretion and is based on factors including condition, brand relevance, market demand, and overall suitability for Rose Archive. We reserve the right to decline items without obligation to provide a reason.

If accepted, we will confirm an estimated resale price (the Estimated Sale Value) in writing prior to listing. This valuation may be adjusted following physical inspection. If you do not agree to a revised valuation, the item will be returned to you at your expense, and no further obligations will apply.

3. Ownership & Authority to Sell

Legal ownership of all consigned items remains with you unless and until the item is sold. By consigning an item, you warrant that:

- you are the lawful owner of the item or are authorised to sell it;

- the item is authentic, lawfully acquired, and free from third-party claims.

- the sale of the item does not infringe any intellectual property or other legal rights.

4. Condition, Cleaning & Repairs

All items must arrive in clean, wearable, and sale-ready condition. Items with undisclosed damage may be rejected or returned at your expense.

Where necessary, Rose Archive may arrange professional cleaning or minor repairs to bring an item to a marketable standard. Associated costs may be deducted from your final payout or charged prior to return if the item does not sell. We reserve the right to carry out such services without prior notice where reasonably required.

5. Authenticity

All items consigned to Rose Archive must be genuine. We reserve the right to authenticate items using internal processes or third-party specialists.

If an item is deemed counterfeit, unverified, or otherwise inauthentic, we may refuse to list it and may return, retain, or dispose of the item at our discretion. An administration fee may apply to cover handling and verification costs. We may also cooperate with brands or authorities where required by law.

6. Pricing, Discounts & Sale Management

Once listed, items may be promoted across our website and marketing channels at our discretion. We do not guarantee specific exposure or timelines for sale.

To support a successful sale, Rose Archive may adjust pricing during the consignment period, including applying reasonable discounts in line with market conditions. You will be paid based on the final sale price achieved.

7. Consignment Period & Withdrawal

Unless agreed otherwise in writing, items are consigned for a minimum period, during which they may not be withdrawn. Early withdrawal may incur administrative or handling fees.

If an item remains unsold after the agreed consignment period, we may:

- continue to market the item with further price adjustments;

- return the item to you at your expense; or

- if uncollected within a reasonable timeframe, donate or otherwise dispose of the item.

8. Commission & Payment

Rose Archive earns a commission on the Net Sale Value, defined as the final sale price minus applicable taxes, shipping, transaction fees, and agreed commission.

Commission rates are communicated at acceptance and may vary by item category. Payouts are issued within a stated period after a sale is completed and the buyer’s return window has closed.

International payouts are processed in GBP. Any bank fees, exchange rate differences, or intermediary charges are the responsibility of the consignor.

9. Shipping, Risk & Insurance

You are responsible for all risk of loss or damage until we confirm receipt and acceptance of the item. Items must be shipped using a tracked and secure method.

Once accepted, Rose Archive assumes responsibility for items while in our possession. In the event of loss or damage, our liability is limited to the agreed Estimated Sale Value, less applicable commission.

10. Marketing & Use of Images

You grant Rose Archive the right to photograph, display, and use images of consigned items for sales, marketing, and promotional purposes during the consignment period.

11. Compliance & Legal Safeguards

You confirm that consigned items comply with all applicable laws, including export controls and anti-money laundering regulations. We reserve the right to request identification or additional documentation where required.

Rose Archive shall not be liable for indirect or consequential losses, including loss of profit or reputational harm. Our total liability is capped at the Estimated Sale Value of the item.

12. Termination

We reserve the right to refuse, suspend, or terminate consignment arrangements where these Terms are breached or where continued listing presents legal or reputational risk.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.
